This Acceptable Use Policy ("AUP") sets out conduct that is prohibited when using AP Sales Coach (the "Service"). It supplements our Terms of Service (apsalescoach.com/legal/terms) and is binding on every account holder. Breach of this AUP is grounds for immediate suspension or termination of your account, without refund and without prejudice to any other remedies we may pursue.

C.1. The big picture

AP Sales Coach is a tool for legitimate sales professionals to operate their own outbound calling activities more effectively. It is not a tool for surveillance, fraud, harassment, or unlawful behaviour.

You are the data controller of any audio you choose to capture using the App. Your use of the App is your responsibility, and your responsibility is non-trivial.

C.2. Consent and recording laws

You must comply with all applicable laws regulating the recording, transcribing, monitoring, or processing of telephone calls or other communications, in:

  • The jurisdiction in which you are located;
  • The jurisdiction of any other party to the communication;
  • The jurisdiction in which the communication is routed.

This includes obtaining the consent of all required parties before activating the App during a call, where the law of any relevant jurisdiction requires such consent.

Examples (not exhaustive — you are responsible for verifying the law applicable to you):

  • United Kingdom: generally one-party consent applies, but specific contexts (e.g. calls to or from regulated industries) may require disclosure or additional consent.
  • European Union member states: vary; many require all-party consent; GDPR additionally imposes lawful-basis and notification requirements.
  • United States: federal law requires one-party consent. The following states require all-party (two-party) consent in many circumstances: California, Connecticut, Florida, Hawaii (sometimes), Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, Vermont, Washington.
  • Canada, Australia, Singapore, India, Japan, etc.: all have specific rules. Consult local counsel.

C.3. Prohibited activities

You must not use the Service to:

  1. Record, transcribe, or process audio without legally required consent in any jurisdiction;
  2. Conduct any communication intended to deceive, defraud, harass, threaten, intimidate, or harm any person;
  3. Operate, facilitate, or solicit for any scheme that violates consumer-protection law, including but not limited to:
    • Unsolicited automated calls (autodialing) where prohibited;
    • Calls to numbers on official Do-Not-Call registries (e.g. UK TPS, US National DNC, FTC Robocall Rules);
    • Pump-and-dump or other securities-fraud schemes;
    • Unauthorised debt-collection practices;
    • Health-care or insurance fraud;
    • Romance scams, advance-fee fraud, lottery fraud, etc.;
  4. Impersonate any person, business, government official, or representative of any organisation, or otherwise misrepresent your identity, authority, or affiliation;
  5. Sell, market, or solicit for illegal goods or services, including controlled substances, illegal weapons, counterfeit goods, illegal gambling, child sexual abuse material, terrorism, sanctions-evasion services, etc.;
  6. Use the Service in any manner that violates the rights of any third party (intellectual property, privacy, publicity, contract);
  7. Circumvent, disable, or interfere with any security, access control, license enforcement, or other technical protective mechanism of the Service;
  8. Reverse-engineer, decompile, scrape, or replicate the Service or any part of it, except to the limited extent permitted by mandatory applicable law;
  9. Interfere with the Service's operation, including by introducing malware, viruses, denial-of-service traffic, or by overwhelming our servers, sub-processors, or APIs;
  10. Use the Service to provide a competing service, including by re-selling access, white-labelling functionality, or building derivative products;
  11. Share your account credentials, license, or device-bound subscription with any other person. The Service is licensed for your use, on one device, per active paid subscription;
  12. Publish, share, or otherwise disseminate the default scripts, branding, or proprietary content of the Service except as expressly permitted (e.g. social-media posts about your experience using the Service are encouraged).

C.4. Affiliate-program-specific prohibitions

If you participate in our Affiliate Program, you additionally must not:

  1. Engage in cookie stuffing, browser hijacking, or any technique that sets the affiliate cookie without genuine user intent;
  2. Bid on brand keywords ("AP Sales Coach", "APSalesCoach", common misspellings) in paid search advertising without explicit prior written approval;
  3. Self-refer — sign up under your own affiliate code, or arrange for friends/family to sign up under your code with no genuine product interest;
  4. Spam any channel (email, SMS, forums, social media) to promote the Service in violation of platform policies or anti-spam laws;
  5. Make misleading claims about the Service, its features, its pricing, its founders, or any aspect of the offering;
  6. Use paid advertising in a manner that violates the advertising platform's policies or applicable advertising-disclosure laws (you must clearly disclose your affiliate relationship per FTC, ASA, and similar regulator rules).

C.5. Reporting violations

If you believe another user is violating this AUP, please report it via legal@apsalescoach.com with as much detail as you can share. We investigate every report.

C.6. Enforcement

We may, at our sole discretion and without prior notice:

  • Suspend or terminate your account;
  • Refuse to refund any subscription fees previously paid;
  • Revoke any pending or accrued affiliate commission;
  • Report violations to law-enforcement, regulatory authorities, or third-party rights-holders;
  • Pursue legal remedies, including injunctive relief and damages.

C.7. Indemnification

You agree to indemnify, defend, and hold harmless APLeads Ltd from any claim arising from your breach of this AUP, in line with the indemnification provisions of our Terms of Service.

C.8. Updates

We will update this AUP from time to time. Material changes will be communicated at least 14 days in advance.
